The chart below identifies the amended Articles and Bylaws requirement for each Uniform State. Alaska

No approval required of foreign insurer amended articles of incorporation but required to file amended document with the division. (AS 21.09.245).

Arizona

No Arizona Department of Insurance and Financial Institutions approval required of foreign Articles, however, required to file with the Arizona Corporation Commission. Request ACC filing information from tony.mccormack@difi.az.gov.

Arkansas

No approval required of foreign insurer but required to file with the department.

*California File a copy of amended Articles of Incorporation certified by the Secretary of State to be a copy of that which is filed in its office.  File a copy of Bylaws originally certified by the insurer's corporate secretary. 
Colorado

No approval required of foreign insurer but required to file with the department.

Florida

Approval required of domestic insurer. No approval required of foreign insurer and not required to file with the department.

No approval required of domestic insurers, unless a domestic mutual insurer, but required to file with the department. No approval required of foreign insurer and not required to file with the department. 

Georgia

No approval required of foreign insurer but required to file with the department.

Hawaii

Approval required of domestic insurers for articles of incorporation. No approval required of domestic insurer for amendments. No approval required of foreign insurer but required to file with the department.

Idaho

Illinois

No approval required of amended/restated articles of foreign insurers but required to file certified copy with the department.

Massachusetts

Amended Articles of Incorporation and $65.00 filing fee as well as an amended license fee if the change to the Articles requires a new license to be issued.

Michigan

No approval required of foreign insurer but must file with the department. Filing should include a certification from the state of domicile department of insurance within 6 months and retaliatory fee (if required).

Minnesota

No approval required of foreign insurer but must file with the department. Filing must include an original certification from the state of domicile department of insurance, $100 filing fee, and be filed within 60 days of approval by state of domicile.

Mississippi

New Hampshire

No approval required of foreign insurer.

New Jersey

No approval is required of foreign insurer but must file with the Department. Foreign insurer must complete Corporate Amendment Application.

New Mexico

Amended Articles of Incorporation with an original certification from the state having custody of the original document. No approval is required but $10.00 filing fee must accompany the filing.

Amended By-Laws must be certified by the state having custody of the original document or the company's corporate secretary. No approval is required but a $10.00 filing fee must accompany the filing.

Pennsylvania

Puerto Rico

No approval required of foreign insurer but must file with the department Filing must include an original certification from the state of domicile department of insurance.

Amended By-Laws certified by the company's corporate secretary with the company's corporate seal affixed to the certification.
Rhode Island No Approval by RI Insurance Division Required. No Approval by RI Insurance Division Required.
South Carolina A copy of the amended Articles of Incorporation must be filed if key information (e.g., name, state of domicile, statutory home office, etc.) changes.

Texas

Amended Articles of Incorporation: Foreign/Alien must file a copy of the miscellaneous amendments, certified by the State of domicile. Fee for all “amendment” filings is $0.
Restated Articles of Incorporation: Foreign/Alien must file must file a copy of the restated articles, certified by the State of domicile. Fee for all “restatement” filings is $0.

Bylaws are required for County & Local Mutuals & SIG’s (filing w/o Fees) and HMO, JUA, MEWA, and FBS (retaliatory - may require fees). Filings for amended/restated bylaws are not required for all other company types.

Utah Filing required. Email to: company-renewals@utah.gov. No filing required. 
Vermont

No approval required of foreign insurer and not required to file with the department if the company has only amended their articles. However, if the Company’s articles have changed as a result of another corporate amendment change then they are required to be filed with the state.

Virginia

No approval required of foreign insurer and not required to file with the department. Filing is required with the Clerk of the Virginia State Corporation Commission, under Title 13.1 of the Code of Virginia.

Washington

No approval required of foreign insurer with a $10 filing fee.

No approval required of foreign insurer and no filing fee.

West Virginia

Filing is required along with a $50 fee, subject to retaliation.

Wisconsin

Non-Domestics: Filing is required. Filing Fee is the larger of $25 or retaliatory amount.

Wyoming

No approval required of foreign insurer and Wyoming only requires articles to be filed with the original certificate of authority application.
